Legal & Corporate Affairs Manager - Tel-Aviv, Israel

 

Purpose of the Position:

JTI is opening the position of Legal & Corporate Affairs Manager as a result of an expansion of its activities and operations in Israel.
The Legal part of the role is to provide legal support on all matters arising in the market, including but not limited to:-

(i) advising the market on all legal matters affecting the business with the aim of achieving corporate and commercial objectives, managing compliance with all applicable laws and relevant policies, and ensuring appropriate management and consideration of legal risk,

(ii) drafting and advising on contracts for all functions,

(iii) addressing potential legal and regulatory issues, including competition law,  related inter alia to products, IT, employment law,

(iv) dispute resolution,

and (v) providing legal training to employees where needed across all functions. The objective of this position is to ensure efficient and effective legal support, bringing solution orientation and competitive advantage to the business.
The Corporate Affairs responsibility is to monitor the Tobacco-related regulatory environment and support engagements with concerned stakeholders in Government, parliament, among business associations, and/or media. More so, together with HR he will devise & implement the in-market communication strategy with a particular focus on internal communication, employee volunteerism, and corporate philanthropy programs.
The role will report to the Country Manager, Israel, and will require the ability to travel.

 

Main Responsibilities:

  • Legal support - Support the local team, in close cooperation with HQ Legal, in order to assist the market to reach its goals in terms of OCC and Volume while at all times mitigating legal risks.  Draft, negotiate and review contracts and correspondence as needed while implementing all HQ contractual clauses and requirements into the agreements. Further, retain and manage local outside counsel. Provide prompt and sounds legal support during internal approval processes, including but not limited to BAP/Memos; GHE requests, iKNOW projects, etc. in accordance with JTI Policies and Procedures.
  • CA&C support - to advocate and present company position on legislative issues to government, MPs, and other external stakeholders; develop a network of external contacts; regulatory affairs activities. Maintain external relations with administrative and political bodies, with community authorities, external organizations including NMA and NGO's; Create a credible, sustainable corporate reputation of JTI, communicate JTI values to employees, inform on JTI initiatives, activities, and achievements, perform JTI programs, such as KYC, investigation of illicit trade, cooperation with intelligence authorities in combating contraband, implement internal policies and procedures related to Legal and Corporate Affairs. Manage media relations and design and manage – together with HR - all internal communication in order to facilitate and promote the JTI brand, values, ethics, and image.
  • Business acumen and operating environment - Maintain a strong understanding of business strategy and operating environment in Israel through evaluating activities that may impact JTI business, assessing and proposing actions to mitigate legal and reputational risks, and ensuring delivery of excellent consistent and cohesive support to business partners, in particular in terms of timeliness, responsiveness, reliability, relevance, and cost-effectiveness.
  • Coordination with the HQ - Ensure consistency of business practices in Israel with JTI's global practices, work together with HQ on matters of importance to the business and keep the HQ informed in a timely manner as to significant developments. Coordinate and implement with the HQ for various legal and CA&C matters including, but not limited to, global and regional strategies, programs, contracts, training, corporate governance, entity matters, competition law, sanctions, HQ reporting, and business development transactions.
  • Corporate governance - Ensure proper corporate controls and policies are implemented, initiating/executing amendments to articles of association, draft and facilitate the adoption of Board resolutions.
  • Budgeting - Manage Legal and CA&C budgets and ensure proper planning, payments, and reporting.

 

Skills & Experience: 

  • Law degree and admission to the Bar in Israel.
  • 3-5 years of relevant experience in the FMCG or pharma industry or a reputable commercial law firm, with exposure to various commercial issues and challenges in a highly regulated environment.
  • Fluent in English and Hebrew. Good level of computer skills, particularly, in MS office applications.
