Legal Manger DRC

 

What this position is about – Purpose

 

Responsible for overseeing all legal matters for the Company, including but not limited to providing legal advice and counsel to the Company`s executives and management, drafting and reviewing contracts and other legal documents, managing the Company`s litigation and legal disputes, and ensuring compliance with all applicable laws and regulations.

 

Responsibilities:

 

  • Providing legal and regulatory advice/guidance: to the entity business units to facilitate decision making while being compliant with the law and policies and ensure that entity risk is identified, monitored, and controlled.
  • Compliance: Supporting the Legal Director in ensuring entity’s legal compliance with relevant laws and regulations in the jurisdictions where it operates. Monitors changes and developments in the legal environment and updates the organization's policies and procedures accordingly. Implement and enforce internal governance and ethics standards and handle any legal complaints, investigations or audits. Represent the organization in any legal disputes or litigation and coordinate with external counsel if necessary.
  • External Counsels: working with external lawyer in the provision of external legal services to the entity in all court cases, arbitration, mediation to minimize the entity's liability or exposure.
  • Support the Legal Director in handling all company secretarial matters for the entity and also provide guidance to the Board of Directors to ensure compliance with the Company’s Act and JTI Global Board policy.
  • Contract Management: Drafting, reviewing and maintaining contracts, memorandums to ensure validity, enforceability to protect company interests and rights in all commercial transactions. Keep records in paper and digital.
  • Integrated Management System and Environmental Health and Safety. Perform work in accordance with company policies and procedures, ensuring work is done in a manner that will not risk individual personal health and safety, colleagues, company assets, business performance and will not harm the environment. This includes proposing changes, where opportunities for improving performance, failure reductions, or increased efficiency and reducing risks are identified, and promptly reporting accidents, incidents, near misses and unsafe acts and situations and any other hazardous situations observed.

 

Requirements:

 

  • Law degree (LL. B or equivalent) and admission to the bar in at least one jurisdiction; additional qualifications such as an LL.M are an asset.
  • Minimum of 5 years of demonstrated experience in legal administration.
  • Fluency in both French and English (written and spoken).
  • Active license to practice law.
  • Strong leadership, communication, analytical, problem-solving, and decision-making skills.
  • Comprehensive knowledge of key legal domains, including corporate law, contract law, labor law, intellectual property law, tax law, and regulatory compliance.
