LEGAL MANAGER

 

The Legal Manager will provide legal support to the Bangladesh Market on all matters arising in the market and factory. The incumbent is responsible for proactively advising the Business on all legal matters affecting the business; with the aim of achieving corporate/commercial objectives in a manner that ensures compliance with the law and appropriate management of legal risk. 

 

The objectives of this position include (i) addressing potential legal and regulatory issues related to products, commercial contracts, taxation, IT, employment law, competition law (ii) dispute resolution (iii) ensuring local teams' training on relevant legal matters, including compliance with company policies and regulations (iv) helping the operational teams develop their commercial plans.

 

As the Legal Manager, you will:

  • Advising the business (including but not limited to Global Supply Chain, P&C, Finance, CA&C, Marketing and Sales, and Leaf etc.) on tobacco and other regulations, as well as effectively communicating the legal issues in a timely and appropriate manner:
    • Advising on commercial law, including contracts and commercial issues to all departments in the company.
    • Reviewing general commercial contracts (e.g., trading, purchasing, supply, service, distribution agreements, etc.)
    • Advising the business on product and/or factory (including leaf-related) regulations, including reviewing developments and legislation on relevant legal and regulatory matters and informing the company on a timely manner on any changes and/or impending changes.
    • Advising on packaging and marketing activities.
    • Advising on licensing applications and renewals.
    • Advising the business on employment, data protection, consumer protection, competition, anti-corruption and bribery and other relevant laws to ensure compliance.
    • Partner with CA&C on regulatory affairs front including government relations, advocacy, and corporate communications; ensure compliance in stakeholder engagement and public affairs.
  • Conducting corporate secretarial duties and advising on corporate governance related issues.
  • Manage litigation and disputes in taxation, employment, contracts, and regulatory enforcement in defending the company’s interests.
  • Advising and assisting in compliance matters, including assisting the Business Ethics in any investigations.
  • Other responsibilities:
    • Assisting the Legal team on business projects or initiatives for the South Asia Region and markets, as well as Global projects whenever required.
    • Assisting in matters including corporate governance, leases, contracts, industrial relations and labour matters. Conducting conferences, etc.
    • Conduct and manage trainings on legal topics such as Competition Law, Dawn Raid, Documents Writing, Marketing Dos & Don'ts, Global Economic Sanctions, etc., from time to time.
    • Any other responsibilities assigned by the Legal Director from time to time.

 

Requirements:

  • Minimum LL. B degree from a reputed University
  • At least 7 years of Post Qualification Experience. Must have at least lower court enrollment in Bangladesh. High Court enrolment is preferred.
  • Excellent communication skills in English and Bengali, both verbal and written.
  • Ability to understand the tobacco business, its strategies, its people and its organizational structures. Experience in drafting and reviewing  general commercial contracts.
  • Awareness of legal and commercial risks and the ability to establish means for managing such risks consistent with business objectives.
  • Ability to interact confidently with members of the organization at different levels.
  • Team player, solution-oriented, keen learner, with a passion for an in-house legal career.
  • Ability to travel both inside and outside the country.
