Legal Director - Khartum, Sudan


Purpose of the role

The Legal Director will provide legal support to the ExCom on all matters arising in the market and factory in Sudan, as well as in South Sudan, in coordination with the Regional Legal Counsel and other specialized legal teams. The incumbent is responsible for advising the local ExCom on all legal matters affecting their business; with the aim of achieving corporate/commercial objectives in a manner that ensures compliance with the law and appropriate management of legal risk.
The objectives of this position include (i) addressing potential legal and regulatory issues related inter alia to products, commercial contracts, taxation, IT, employment law (ii) dispute resolution (iii) ensuring local teams' training on relevant legal matters, including compliance with company policies and regulations (i) helping the operational teams develop their commercial plans whilst minimizing risk and maximizing competitive advantage.



  • Manage the department as well as external advisors (including external lawyers), organise split of duties and delegate work, assess and execute the budget; prepare and execute department projects, participate in overall company business planning process; ensure reports in line with JTI requirements, ensure KPI’s achievement by the team.
  • Provide legal advice to both factory and commercial teams in a manner which allows to achieve business objectives of JTI,  having regard to legal and reputational risk, including managing litigation and representation at labour disputes.
  • Support Marketing & Sales department in daily and strategic activities; ensure compliance of marketing activities with laws, supervision of Intellectual Property rights protection and trademark registrations, legal supervision and advice of personal data protection, consumer promotion, competition compliance.
  • Drafting and negotiation of commercial agreements whether in respect of such complex and/or high value legal matters or in support of more day to day in market business and to include trading, supply, purchasing, distribution agreements etc.… while maintaining an up to date Contract Management policy in line with JTI.
  • Corporate Governance and secretarial management: ensure proper corporate controls and policies are implemented in line with global JTI policies and controls, managing efficient tax/legal structure of financing the entity, initiating/executing amendments to articles of association and internal by-laws.
  • Corporate Governance - ensure and audit compliance of JTI activities with JTI policies and procedures/JSOX and binding national laws, taking part in legal analysis of JTI projects and managing them to achieve compliance with legislation (in particular with competition laws); executing Corporate Compliance activities in Sudan.
  • Ensuring consistency of business practices in Sudan with JTI's global practices, he/she will work together with the legal function in HQ on matters of importance to the business and keeping Legal HQ informed in a timely manner as to significant developments.
  • Enabling the business to develop its products and activities safely, through interpreting applicable local laws, instructing local legal counsels when needed, and coordinating with the market so that practical solutions can be found to comply with such laws and JTI's policies.
  • Regulatory – to ensure the business is aware of regulatory changes, he/she shall monitor the entire range of tobacco regulatory issues, working closely with Legal HQ and local counsel where necessary, and train the operational teams accordingly.
  • Commercial – to enable JTI to trade its products in the best commercial conditions, he/she will work closely with the operational teams in the market to draft contracts and address any issues relating to packaging, import/export, distribution, merchandising and sales in accordance with local laws, regulations and JTI's policies.
  • Operations - to enable JTI employees to operate safely in Sudan market where such employees are based, he/she shall support the M&S, CA&C, P&C, IT, GSC, and finance functions.
  • Corporate Affairs - To support JTI's engagement in regulatory processes, he/she will work closely with the Corporate Affairs Director to analyses upcoming regulatory changes and develop proposals in this regard.
  • Reviews, researches, interprets, and prepares both written and oral opinions on a wide variety of legal issues and approves policies and procedures, regulations, bylaws, and other legal documents. Reviews contracts, leases, and other legal documents; researches legal issues and recommends revisions as necessary.
  • To perform any other tasks as required by the organisation.


Background and skills

  • University degree in law and bar exam, Legal qualification in Sudan or UK.
  • At least 8 years post qualification experience. Experience in relation to FMCG or a regulated sector such as pharmaceuticals is a plus, with exposure to all various issues (including tax issues) that any corporation may face in a highly regulated environment, experience in general management. Local knowledge of the region and cultural sensitivity are required, together with a practical, competitive and solution orientated mindset.
  • English and Arabic (fluent spoken and writing). Other language(s) is a plus. PC literacy.
