Corporate Secretary Manager
This role offers a dynamic opportunity for a Corporate Secretary Manager within JTI’s Corporate Governance & Compliance Team, based in Amstelveen, Netherlands. The position involves providing legal support on governance matters, intragroup transactions, M&A, and corporate funding, while collaborating on cross-border projects. Responsibilities include also organizing Dutch board meetings, managing corporate housekeeping, and supporting subsidiaries with legal documentation. The manager will also work closely with departments like IT, tax, and finance, and contribute to implementing a new corporate secretary tool. A flexible, agile mindset and strong initiative are essential to thrive in this collaborative, multi-disciplinary environment.
Position:
- Collaborate closely with the Corporate Governance team, corporate legal and governance colleagues, and HQ and market legal, tax, finance, and treasury teams worldwide on governance transactions and projects as required.
- Support the corporate legal team on governance and legal matters related to intragroup restructurings, business development deals, group funding, cash repatriations, and provide legal advice on business development projects, purchase and sale transactions, share transactions, capital increases, credit facilities, contract transfers, assignments, and corporate restructurings.
- Organize board meetings for Dutch entity including preparing agendas, drafting minutes, composing board packs, and facilitating the meetings, in collaboration with the corporate legal team.
- Ensure corporate governance compliance for Dutch entities and JTI group entities in line with the Corporate Governance Code and internationally accepted corporate governance principles.
- Manage corporate housekeeping activities such as maintaining and filing legal documents in corporate databases and files, coordinating legalizations, communicating with notaries and external counsel, and maintaining registrations with the Chamber of Commerce, in collaboration with corporate legal team.
Requirements:

University degree in Law and preferred in Corporate Law (Master level
- 4 - 8 years of professional experience in a private practice as attorney, candidate civil law notary or a trust company, as well as corporate in-house experience in multinationals.

Strong affinity with corporate governance principles and practices.

Deep understanding of project-based work and cross-functional collaboration.
- Ability to connect people and foster effective communication across teams.

Proactive attitude and self-driven approach to problem-solving and execution, with a capacity for thinking outside the box.
- Strong English skills are essential, with the ability to communicate confidently across all levels, including senior leadership, Dutch is consired as a plus.
